Job Description

Are you an experienced M&A attorney looking for a new and exciting opportunity? Stryker, a global leader in the medical technology industry, is seeking a Senior M&A Counsel to join our dynamic and collaborative Legal team. In this role, you will play a crucial role in our company's growth strategy by providing legal guidance and support for our mergers and acquisitions activities.   1. Oversee and manage all legal aspects of mergers and acquisitions transactions for Stryker, including due diligence, negotiations, and documentation.
  2. Provide strategic legal advice and counsel to the company's leadership team on potential mergers and acquisitions, including identifying risks and proposing solutions.
  3. Collaborate with cross-functional teams, including finance, tax, and regulatory departments, to ensure smooth and timely execution of transactions.
  4. Conduct legal research and stay up-to-date on relevant laws and regulations related to mergers and acquisitions, and advise the company accordingly.
  5. Ensure compliance with all legal and regulatory requirements throughout the M&A process.
  6. Draft, review, and negotiate a variety of legal documents, including purchase agreements, disclosure schedules, and other transaction-related documents.
  7. Develop and maintain relationships with external legal counsel and advisors.
  8. Assist in integrating acquired companies into Stryker's operations and culture.
  9. Provide training and guidance to junior attorneys and other team members on M&A best practices and legal considerations.
  10. Continuously improve and streamline processes and procedures related to M&A activities to maximize efficiency and effectiveness.

Job Qualifications
  • Extensive Experience In M&A Transactions: The Ideal Candidate Should Have A Minimum Of 10 Years Of Experience In Handling M&A Deals, Preferably In The Healthcare Industry. They Should Have A Deep Understanding Of The Legal And Regulatory Aspects Of M&A Transactions.

  • Proven Track Record Of Success: A Successful Senior M&A Counsel Should Have A Track Record Of Successfully Leading And Closing Complex M&A Transactions. They Should Be Able To Demonstrate Their Ability To Negotiate Favorable Deals And Drive Value For The Company.

  • Strong Legal Background: The Candidate Should Have A Juris Doctor (Jd) Degree From An Accredited Law School And A License To Practice Law In The Relevant Jurisdiction. They Should Have A Strong Understanding Of Corporate Law, Contract Law, And Other Relevant Legal Areas.

  • Excellent Communication And Negotiation Skills: As A Senior M&A Counsel, The Candidate Will Be Responsible For Negotiating Deals With External Parties, As Well As Collaborating With Internal Stakeholders. Therefore, Strong Communication And Negotiation Skills Are Essential For This Role.

  • Strategic Mindset: The Ideal Candidate Should Have A Strategic Mindset And Be Able To Think Critically And Analytically. They Should Be Able To Identify Potential Risks And Opportunities In M&A Transactions And Provide Sound Legal Advice To The Company's Leadership Team.
