As Legal Director, you will play a critical role in ensuring our company's compliance with securities laws and regulations, as well as overseeing our corporate governance practices.   1. Serve as the primary expert on securities laws and regulations, staying up-to-date on any changes or updates that may affect the company.
  2. Develop and implement policies and procedures to ensure compliance with securities laws and regulations at all levels of the organization.
  3. Oversee the company's corporate governance practices, including board meetings, shareholder communications, and proxy statements.
  4. Advise and provide strategic legal guidance to the executive leadership team on various business initiatives, including mergers and acquisitions, capital markets transactions, and other corporate activities.
  5. Collaborate with internal stakeholders, including finance, accounting, and investor relations, to ensure accurate and timely reporting of financial information to regulatory bodies.
  6. Manage relationships with external legal counsel and other advisors to ensure the company is receiving the highest level of legal support.
  7. Conduct regular trainings and workshops for employees on securities laws and corporate governance best practices.
  8. Monitor and assess potential legal and regulatory risks related to securities and corporate governance, and develop proactive strategies to mitigate these risks.
  9. Represent the company in legal proceedings related to securities and corporate governance matters.
  10. Stay informed about industry trends, best practices, and emerging issues in securities and corporate governance, and make recommendations to improve the company's practices and procedures.
  11. Foster a culture of compliance within the organization and serve as a role model for ethical behavior and integrity.

Job Qualifications
  • Juris Doctor (Jd) Degree From An Accredited Law School

  • Minimum Of 10 Years Of Experience In Securities Law And Corporate Governance, Preferably In A Large Publicly Traded Company

  • Strong Knowledge Of Federal Securities Laws, Including The Securities Act Of 1933 And The Securities Exchange Act Of 1934

  • Proven Track Record Of Successfully Managing Complex Legal Matters Related To Securities And Corporate Governance, Including Mergers And Acquisitions, Shareholder Activism, And Sec Filings

  • Excellent Communication, Leadership, And Strategic Thinking Skills, With The Ability To Effectively Advise Senior Executives And Collaborate With Cross-Functional Teams.
