  1. Conduct thorough and detailed research on potential M&A opportunities and present findings to the legal team.
  2. Review and analyze legal documents related to M&A transactions, including contracts, agreements, and due diligence materials.
  3. Prepare and file necessary legal documents, such as merger agreements, disclosure statements, and SEC filings.
  4. Coordinate and manage communication and document exchanges between internal teams, external counsel, and other parties involved in M&A transactions.
  5. Assist in negotiating and drafting transaction documents, including letters of intent, purchase agreements, and closing documents.
  6. Provide guidance and support to junior paralegals and administrative staff on M&A matters.
  7. Keep up-to-date on current laws and regulations related to M&A and communicate any changes or updates to the legal team.
  8. Maintain and organize all M&A-related documents and files.
  9. Collaborate with other departments, such as finance and human resources, to ensure all aspects of M&A transactions are properly addressed.
  10. Assist in due diligence and integration efforts for completed M&A transactions.
  11. Act as a liaison between the legal team and other departments to ensure all legal requirements are met during M&A transactions.
  12. Maintain confidentiality and handle sensitive information with discretion.
  13. Proactively identify potential legal and financial risks associated with M&A transactions and communicate them to the legal team.
  14. Participate in meetings and calls with external parties, including clients, regulators, and attorneys, as needed.
  15. Continuously strive to improve processes and procedures related to M&A transactions, and make recommendations for efficiency and effectiveness.

Job Qualifications
  • Extensive Experience In Mergers And Acquisitions: A Senior Paralegal At Honeywell Must Have A Strong Background In Mergers And Acquisitions, Including Experience With Due Diligence, Drafting And Negotiating Transaction Documents, And Coordinating With Other Departments And Outside Counsel.

  • Knowledge Of Corporate Law And Regulations: A Strong Understanding Of Corporate Law And Regulations Is Essential For A Senior Paralegal At Honeywell, Particularly In The Areas Of Securities Law, Corporate Governance, And Antitrust Law.

  • Excellent Communication And Interpersonal Skills: As A Senior Paralegal, Effective Communication And Relationship Building Skills Are Crucial For Working Closely With Attorneys, Clients, And External Partners. This Includes The Ability To Clearly And Concisely Convey Complex Legal Concepts And Negotiate Effectively.

  • Attention To Detail And Organizational Skills: Mergers And Acquisitions Involve A High Volume Of Documents And Deadlines, Making Strong Organizational Skills And Attention To Detail Essential For Success In This Role. A Senior Paralegal At Honeywell Must Be Able To Manage Multiple Tasks And Prioritize Effectively.

  • Ability To Work Independently And As Part Of A Team: Senior Paralegals At Honeywell Must Be Self-Motivated And Able To Work Independently, While Also Being Able To Collaborate Effectively With Attorneys And Other Team Members. This Includes The Ability To Take Initiative, Problem-Solve, And Adapt To Changing Priorities And Deadlines.
