  1. Conduct due diligence: Conduct thorough and comprehensive due diligence on potential M&A targets, including reviewing contracts, financial documents, and other legal materials.
  2. Draft and review legal documents: Prepare and review various legal documents related to M&A transactions, including purchase agreements, disclosure schedules, and other transactional documents.
  3. Coordinate with internal and external stakeholders: Work closely with business leaders, external legal counsel, and other internal stakeholders to ensure a smooth and efficient M&A process.
  4. Manage timelines and deadlines: Monitor and manage timelines and deadlines for M&A transactions to ensure timely completion and compliance with legal and regulatory requirements.
  5. Identify and mitigate risks: Identify potential legal and business risks associated with M&A transactions and develop strategies to mitigate or address them.
  6. Stay updated on laws and regulations: Stay updated on relevant laws, regulations, and industry trends related to M&A transactions and provide guidance to business leaders accordingly.
  7. Provide legal support: Provide legal support and advice to business leaders on M&A matters, including contract negotiations and other legal issues.
  8. Maintain documentation: Maintain accurate and organized documentation of M&A transactions and related legal matters.
  9. Collaborate with cross-functional teams: Collaborate with cross-functional teams, including finance, tax, and HR, to ensure seamless integration of acquired companies.
  10. Train and mentor junior paralegals: Train and mentor junior paralegals on M&A processes, legal best practices, and company policies and procedures.

Job Qualifications
  • At Least 5 Years Of Experience As A Senior Paralegal In Mergers And Acquisitions, Preferably In A Large Corporation Or Law Firm Setting.

  • Strong Knowledge Of Corporate Law And M&A Processes, Including Due Diligence, Contract Review, And Transactional Document Drafting.

  • Excellent Communication Skills And Ability To Work Closely With Attorneys, Clients, And Other Stakeholders Involved In M&A Transactions.

  • Proven Track Record Of Managing Multiple Complex M&A Deals Simultaneously And Meeting Tight Deadlines.

  • Experience With Technology And Tools Commonly Used In M&A Transactions, Such As Virtual Data Rooms And E-Discovery Software.
