Job Description

If so, we have an exciting opportunity for you at Fortive as a Senior Corporate Paralegal. In this role, you will work closely with our legal team to provide critical support for our corporate transactions, compliance, and governance processes. We are seeking a highly organized and detail-oriented individual with exceptional communication and analytical skills. As a Senior Corporate Paralegal, you will play a pivotal role in helping us achieve our business goals and drive our company's success.

  1. Provide support for all corporate transactions, including mergers and acquisitions, joint ventures, and partnerships.
  2. Assist with due diligence processes, including reviewing and organizing documents and conducting legal research.
  3. Draft and review legal documents, such as contracts, agreements, and corporate governance documents.
  4. Ensure compliance with all applicable laws and regulations, including maintaining corporate records and filings.
  5. Collaborate with internal teams to provide legal guidance and ensure legal compliance in all business activities.
  6. Conduct legal research and analysis to support decision-making and provide recommendations to the legal team.
  7. Manage and maintain corporate databases and systems, ensuring accurate and up-to-date information.
  8. Communicate effectively with internal and external stakeholders, including attorneys, clients, and government agencies.
  9. Assist with the preparation and filing of required corporate documents, such as annual reports and tax filings.
  10. Identify and assess potential legal risks and provide recommendations to mitigate them.
  11. Stay updated on changes in laws and regulations that may impact the company, and advise on necessary actions.
  12. Train and mentor junior paralegals and other team members, as needed.
  13. Coordinate with outside counsel and manage legal invoices and budgets.
  14. Maintain confidentiality and handle sensitive information with discretion.
  15. Contribute to the overall success of the legal team and company by taking on additional responsibilities and projects, as needed.

Job Qualifications
  • Extensive Experience In Corporate Law: A Senior Corporate Paralegal At Fortive Should Have A Minimum Of 5-7 Years Of Experience Working In A Corporate Legal Department Or Law Firm Specializing In Corporate Law. This Experience Should Include Drafting And Reviewing Contracts, Managing Corporate Governance And Compliance Matters, And Supporting Mergers And Acquisitions.

  • Strong Knowledge Of Legal Processes And Procedures: The Ideal Candidate Should Have A Deep Understanding Of Corporate Legal Processes And Procedures, Including Contract Management, Due Diligence, And Regulatory Compliance. They Should Also Have Experience Working With Legal Databases And Document Management Systems.

  • Excellent Communication And Interpersonal Skills: As A Senior Corporate Paralegal, You Will Be Expected To Communicate And Collaborate With Various Stakeholders, Including Attorneys, Executives, And Other Members Of The Legal Team. Therefore, Strong Communication And Interpersonal Skills Are Essential For Success In This Role.

  • Attention To Detail And Organization: A Senior Corporate Paralegal Must Possess Excellent Attention To Detail And Strong Organizational Skills To Manage A High Volume Of Contracts, Documents, And Legal Matters. They Should Also Be Able To Prioritize Tasks And Meet Tight Deadlines.

  • Team Leadership And Management Abilities: The Senior Corporate Paralegal Will Be Responsible For Supervising And Mentoring Junior Paralegals, As Well As Coordinating With Other Legal Professionals Within The Company. Therefore, Strong Leadership And Management Skills Are Crucial For This Role.
