Job Description

Are you a seasoned legal professional with a passion for corporate law, securities regulations, and governance? Danaher is seeking a Counsel to join our dynamic legal team and provide expert guidance on these critical areas. As a key member of our in-house legal department, you will have the opportunity to work with a diverse portfolio of companies within the Danaher family, advising on complex legal matters and helping to shape our corporate strategy.   1. Provide expert legal guidance and support on corporate law, including mergers and acquisitions, corporate governance, and regulatory compliance.
  2. Advise on securities laws and regulations, including SEC filings, compliance issues, and disclosure requirements.
  3. Stay up-to-date on changes and developments in corporate law, securities regulations, and governance practices, and provide proactive recommendations to ensure compliance.
  4. Collaborate with other members of the legal department and cross-functional teams to develop and implement effective legal strategies and solutions.
  5. Conduct legal research and analysis to support decision-making and provide sound legal advice.
  6. Work closely with senior management to understand business objectives and provide legal support to achieve them.
  7. Represent the company in negotiations, transactions, and other legal proceedings.
  8. Review and draft legal documents, including contracts, agreements, and policies.
  9. Develop and maintain relationships with internal stakeholders, external legal counsel, and regulatory authorities.
  10. Provide training and guidance to employees on legal matters, compliance requirements, and best practices.
  11. Monitor and manage legal risks and ensure the company's activities are in compliance with applicable laws and regulations.
  12. Participate in special projects and initiatives as assigned by senior management.

Job Qualifications

  • Extensive Knowledge Of Corporate Law: A Qualified Candidate For This Role At Danaher Should Possess A Deep Understanding Of Corporate Law, Including Securities Regulations And Corporate Governance Principles. This Knowledge Will Be Crucial In Advising The Company On Various Legal Matters And Ensuring Compliance With Relevant Laws And Regulations.

  • Experience With Securities Offerings: The Counsel - Corporate, Securities And Governance Will Be Responsible For Managing The Company's Securities Offerings, Such As Initial Public Offerings And Private Placements. Therefore, Candidates Should Have Experience With These Types Of Transactions And Be Familiar With Sec Regulations.

  • Strong Communication And Negotiation Skills: As A Key Member Of The Legal Team, The Counsel - Corporate, Securities And Governance Will Be Required To Communicate And Negotiate With Internal Stakeholders And External Parties, Such As Regulatory Agencies And Investors. Excellent Communication And Negotiation Skills Will Be Essential For This Role.

  • Corporate Governance Experience: Danaher Places A High Value On Corporate Governance And Expects The Counsel To Have Experience In This Area. This Includes Advising On Board And Committee Meetings, Drafting Governance Documents, And Ensuring Compliance With Relevant Laws And Regulations.

  • Law Degree And Licensing: To Be Considered For This Role, Candidates Must Have A Juris Doctor Degree From An Accredited Law School And Be Licensed To Practice Law In The Jurisdiction Where Danaher Operates. Additional Qualifications, Such As An Llm In Corporate Law Or Relevant Certifications, Will Be Viewed Favorably.
