  1. Provide legal counsel and guidance to the corporate legal team on matters related to securities and corporate governance.
  2. Stay up-to-date on relevant laws, regulations, and best practices related to securities and corporate governance.
  3. Conduct legal research and analysis to support decision-making and strategy development for the company.
  4. Draft and review legal documents, including SEC filings, corporate policies, and board resolutions.
  5. Advise on and assist with compliance matters related to securities regulations and corporate governance.
  6. Collaborate with various departments and business leaders to ensure compliance with applicable laws and regulations.
  7. Develop and conduct training programs on securities and corporate governance topics for employees and management.
  8. Proactively identify and mitigate potential legal risks and issues related to securities and corporate governance.
  9. Assist with corporate transactions and other legal matters as needed.
  10. Maintain strong relationships with external stakeholders such as regulators, auditors, and outside counsel.
  11. Represent the company in legal proceedings related to securities and corporate governance matters.
  12. Contribute to the development and implementation of corporate legal policies and procedures.
  13. Provide guidance and support to junior legal team members, as needed.
  14. Participate in meetings and committees to provide legal insights and recommendations.
  15. Embrace a collaborative and team-oriented approach to problem-solving and decision-making.

Job Qualifications
  • A Juris Doctor (J.d.) Degree From An Accredited Law School.

  • Admission To The Bar And In Good Standing With At Least One State Bar Association.

  • Minimum Of 5 Years Of Experience In Corporate, Securities, And Governance Law, Preferably In A Large, Multinational Corporation Or Law Firm.

  • In-Depth Knowledge Of Sec Regulations, Corporate Governance Principles, And Securities Laws.

  • Strong Analytical And Problem-Solving Skills, With The Ability To Provide Sound Legal Advice And Strategic Guidance To Senior Management And Business Leaders.
