  1. Provide legal counsel and guidance on corporate, securities, and governance matters to support Danaher’s global operations and business objectives.
  2. Serve as a subject matter expert on corporate laws and regulations, including SEC filings, corporate governance best practices, and compliance requirements.
  3. Collaborate with internal stakeholders, including senior leadership, finance, and human resources, to ensure legal compliance and minimize risk across the organization.
  4. Proactively identify and manage legal risks, and provide strategic solutions to mitigate potential issues.
  5. Conduct legal research and analysis to stay updated on changes in laws and regulations that may impact the company.
  6. Prepare and review legal documents, including contracts, agreements, and policies, to ensure they are in compliance with applicable laws and company standards.
  7. Support the preparation and filing of SEC reports, including annual and quarterly reports, proxy statements, and other securities filings.
  8. Develop and maintain strong relationships with external legal counsel, auditors, and other relevant parties to ensure effective legal support for the organization.
  9. Provide training and guidance to internal stakeholders on legal and compliance matters to promote a culture of integrity and ethical business practices.
  10. Act as a trusted advisor to senior leadership and other business units on legal matters, providing timely and practical advice to support decision-making.
  11. Participate in special projects and initiatives as assigned, contributing to the continuous improvement of the legal function and the organization as a whole.
  12. Represent Danaher in legal proceedings, as needed, and maintain a high level of professionalism and integrity at all times.

Job Qualifications
  • Juris Doctor (J.d.) Degree From An Accredited Law School.

  • Active Membership In Good Standing With The State Bar Association.

  • Minimum Of 5 Years Of Experience In Corporate And Securities Law, Preferably In A Large Law Firm Or In-House Legal Department.

  • Strong Understanding Of Corporate Governance Principles And Experience Advising Boards Of Directors And Senior Management On Governance Matters.

  • Excellent Written And Verbal Communication Skills, With The Ability To Effectively Communicate Complex Legal Concepts To Non-Legal Stakeholders.
