  1. Conduct thorough research and analysis on various corporate governance matters and provide recommendations to the legal team.
  2. Assist with drafting and reviewing legal documents, including contracts, policies, and procedures, to ensure compliance with applicable laws and regulations.
  3. Work closely with internal stakeholders, such as executives and department heads, to ensure compliance with corporate governance standards and policies.
  4. Manage and maintain corporate records, including board and committee minutes, resolutions, and other relevant documentation.
  5. Stay up-to-date with changes in laws and regulations related to corporate governance and advise the legal team on potential impacts.
  6. Monitor and track compliance with corporate governance requirements and assist with any necessary remediation efforts.
  7. Assist with the preparation and filing of regulatory reports and disclosures.
  8. Collaborate with outside counsel on legal matters related to corporate governance.
  9. Participate in internal audits and reviews to assess and improve corporate governance practices.
  10. Provide support and guidance to other members of the legal team on corporate governance matters.
  11. Maintain confidentiality and handle sensitive information with discretion.
  12. Act as a liaison between the legal team and other departments to facilitate communication and ensure compliance with corporate governance requirements.
  13. Assist with special projects and initiatives related to corporate governance as assigned by the legal team.
  14. Represent the company in a professional and ethical manner at all times.
  15. Continuously strive to improve and streamline processes related to corporate governance.

Job Qualifications
  • Extensive Knowledge Of Corporate Governance Laws And Regulations: A Senior Paralegal At Arrow Electronics Should Have A Deep Understanding Of The Legal Framework Surrounding Corporate Governance, Including Laws, Regulations, And Industry Best Practices.

  • Strong Experience In Drafting And Reviewing Corporate Governance Documents: The Ideal Candidate Should Have A Proven Track Record Of Drafting And Reviewing Various Corporate Governance Documents, Such As Bylaws, Charters, Policies, And Procedures.

  • Ability To Conduct Thorough Legal Research: A Senior Paralegal Should Have Excellent Research Skills And Be Able To Quickly And Accurately Gather Information From Various Sources To Support Legal Matters Related To Corporate Governance.

  • Excellent Communication And Organizational Skills: As A Senior Role, The Candidate Should Possess Strong Verbal And Written Communication Skills To Effectively Communicate Complex Legal Concepts To Both Legal And Non-Legal Colleagues. They Should Also Be Highly Organized And Able To Manage Multiple Tasks And Deadlines.

  • Minimum Of 5 Years Of Experience In A Corporate Legal Setting: To Be Considered For This Role, The Candidate Should Have At Least 5 Years Of Experience Working In A Corporate Legal Department Or Law Firm, With A Focus On Corporate Governance Matters. A Bachelor's Degree In Paralegal Studies Or A Related Field Is Also Preferred.
