Job Description

  1. Conduct research and analysis of securities laws and regulations to ensure compliance with applicable laws and regulations.
  2. Review and draft legal documents related to securities transactions, including prospectuses, offering memoranda, and regulatory filings.
  3. Assist attorneys in preparing for securities offerings, including conducting due diligence and coordinating with external parties.
  4. Maintain and organize corporate records related to securities transactions.
  5. Communicate with internal stakeholders, including senior management, to provide updates on securities transactions and ensure proper approval processes are followed.
  6. Coordinate with external counsel and other service providers to ensure timely and accurate completion of securities transactions.
  7. Monitor and track changes in securities laws and regulations, and provide updates to the legal team and relevant departments.
  8. Conduct legal research and draft memoranda on complex securities issues.
  9. Participate in meetings and calls with clients and external parties to provide support and gather necessary information for securities transactions.
  10. Assist with the development and implementation of policies and procedures related to securities transactions.
  11. Maintain confidentiality of sensitive information and adhere to ethical standards.
  12. Stay updated on industry trends and best practices related to securities laws and regulations.
  13. Collaborate with other members of the legal team to provide support on various legal matters as needed.

Job Qualifications
  • Bachelor's Degree In Paralegal Studies Or Related Field

  • Minimum Of 3 Years Experience In Securities Law, Preferably At A Large Financial Institution Or Law Firm

  • Strong Knowledge Of Sec Regulations And Filings, Including Form 10-K, 10-Q, And 8-K

  • Excellent Research And Writing Skills, With The Ability To Analyze Complex Legal Documents And Prepare Summaries And Reports

  • Proficiency In Legal Research Databases And Document Management Systems, Such As Westlaw And Docusign
