Counsel, Corporate
The primary focus of the role is to collaborate with other company stakeholders in preparing and reviewing SEC filings, including proxy statements, Forms 10-K, 10-Q, and 8-K, as well as Section 16 filings. Corporate Governance, including preparing materials for consideration by the Board and its committees. Employee Equity and Executive Compensation Matters. Regulation FD and public communications matters. Assist with earnings reports and calls. Accounting and Financial Reporting Matters. Treasury Support Intercompany Agreements. Subsidiary Maintenance.
5 to 9 years of experience at a reputable AmLaw firm or a combination of reputable AmLaw firm and in house
Ability to multi-task and manage a fast-paced workload
Experience working with international teams and cross border experience a plus
Has experience with legal issues faced by technology companies
