Counsel – Mergers & Acquisitions

As Sr. Counsel, Mergers & Acquisitions, you will be a core member of 3M’s M&A legal team supporting all of 3M’s global acquisition, divestiture, and venture capital activities. Lead and coordinate the structuring, negotiation, and execution of complex corporate transactions, including global mergers, acquisitions, divestitures, strategic partnerships, and joint ventures. Partner with 3M’s cross-functional M&A Center of Excellence on all aspects of M&A and venture capital transactions, including due diligence, negotiations, and integration and divestiture planning. Oversee all aspects of legal due diligence including coordination of all business and functional experts; analyze and assess due diligence findings. Draft, review, and negotiate all relevant transaction documentation, including CDAs, purchase agreements, merger agreements, disclosure schedules, and other ancillary documents.
