Corporate Counsel

Assist in the preparation and review of the company’s financial reports consistent with general SEC reporting requirements (i.e., Forms 10-K, 10-Q and 8-K). Manage legal compliance for our credit agreement and indenture with support of outside counsel. Assist in the periodic refinancing of our debt, including preparation and review of related documentation and management of outside counsel. Collaborate with Finance, Treasury, Accounting, Tax and Communications on financial presentations and communications, such as earnings releases. Assist Treasury and Tax in documenting intercompany transactions, such as intercompany loans and dividends. Assist with corporate governance matters, including preparation of Board and Committee agendas, materials and minutes. Assist in implementing, maintaining and monitoring various corporate governance practices and policies.
