
Assistant General Counsel - Executive Compensation
U.S. Bank Corp is seeking an experienced, highly motivated, and collaborative Assistant General Counsel – Executive Compensation to join our world-class legal team. The successful candidate will be an experienced attorney with a broad background in executive compensation law and the ability to think creatively in a fast-paced environment.The ideal candidate will possess a comprehensive understanding of executive compensation law, corporate governance, and finance. Qualifications include a minimum of 8 years of experience in a corporate or law firm setting, a JD degree from an accredited law school, and a current Bar admission. Additional qualifications include excellent written and verbal communication skills, the ability to effectively manage multiple tasks and deadlines, and the ability to work independently with minimal direction. The successful candidate must also possess excellent organizational abilities, be self-motivated, and have a commitment to delivering high-quality work.
Responsibilities:
- Provide legal advice and counsel on all matters related to executive compensation law.
- Review and draft executive compensation agreements, policies, and other related documents.
- Monitor and interpret changes in executive compensation law and regulations.
- Participate in the negotiation of executive compensation agreements.
- Provide advice and counsel on corporate governance matters.
- Advise on financial matters, including equity and incentive compensation plans and practices.
- Analyze and research complex legal and business issues related to executive compensation.
- Evaluate and develop strategies for resolving legal issues.
- Communicate effectively with internal and external stakeholders.
- Review and draft opinions related to executive compensation matters.
- Monitor and stay abreast of new developments in executive compensation law and regulations.
- Manage multiple tasks and deadlines in a fast-paced environment.
- Work independently with minimal direction.
- Exercise sound judgment and discretion in making decisions.
- Participate in the development of corporate policies and procedures.
Excellent Written And Verbal Communication Skills
Juris Doctorate Degree From An Accredited Law School
Licensed To Practice Law In The United States Or Be Able To Obtain Such Licensure
Significant Experience In Executive Compensation Matters
Knowledge Of Applicable Rules And Regulations Governing Executive Compensation
Experience In Structuring And Negotiating Executive Compensation Arrangements
Ability To Interpret And Advise On Executive Compensation Regulations
