As a Counsel, you will play a crucial role in providing legal counsel and support to our corporate governance and compliance functions.   1. Provide legal counsel and support to the corporate governance and compliance functions of State Farm.
  2. Ensure compliance with all relevant laws, regulations, and company policies.
  3. Conduct legal research and analysis to advise on corporate governance matters.
  4. Review and draft corporate policies, charters, and other documents related to corporate governance.
  5. Assist with the preparation and filing of corporate filings and reports.
  6. Advise on disclosure requirements and assist with the preparation of disclosure documents.
  7. Monitor changes in regulations and laws affecting corporate governance and communicate updates to relevant stakeholders.
  8. Collaborate with internal departments to ensure corporate governance practices are in line with company values and objectives.
  9. Provide legal advice and support on various corporate transactions and initiatives.
  10. Participate in the development and implementation of corporate governance training for employees.
  11. Work closely with the Office of the Corporate Secretary to ensure compliance with legal and regulatory requirements.
  12. Support the implementation and maintenance of corporate compliance programs.
  13. Conduct internal investigations and provide legal guidance on compliance-related matters.
  14. Maintain accurate and organized records of all legal activities and documents.
  15. Stay informed of industry best practices and make recommendations for continuous improvement.
  16. Represent State Farm in legal proceedings related to corporate governance and compliance matters.
  17. Collaborate with external legal counsel as needed.
  18. Foster a positive and collaborative working relationship with colleagues and other departments within the company.
  19. Promote a culture of integrity, innovation, and community involvement within the company.
  20. Uphold the values and mission of State Farm in all interactions and decisions.

Job Qualifications
  • Juris Doctor (J.d.) Degree From An Accredited Law School

  • Minimum Of 5 Years Of Experience In Corporate Law, Preferably In A Large Corporation Or Law Firm Setting

  • Strong Knowledge Of Corporate Governance And Compliance Regulations

  • Excellent Communication And Interpersonal Skills, With The Ability To Work Collaboratively With Cross-Functional Teams

  • Detail-Oriented With Strong Organizational And Analytical Skills, Able To Manage Multiple Projects And Deadlines Simultaneously
