Job Description

  1. Provide legal counsel and support for all M&A activities of the company.
  2. Conduct thorough due diligence on potential acquisition targets and provide risk assessments and recommendations to senior management.
  3. Draft and negotiate complex M&A agreements, including purchase agreements, joint venture agreements, and other related documents.
  4. Collaborate with cross-functional teams, including finance, HR, and business development, to ensure all legal aspects of M&A deals are properly addressed.
  5. Stay updated on relevant laws, regulations, and industry trends related to M&A and advise the company accordingly.
  6. Manage external legal counsel and ensure efficient and cost-effective legal services are provided.
  7. Identify and mitigate potential legal risks and provide proactive solutions to support successful M&A transactions.
  8. Communicate and coordinate with internal stakeholders to ensure timely and effective completion of M&A deals.
  9. Participate in post-merger integration activities and support the integration of acquired companies into the Salesforce organization.
  10. Provide training and guidance to internal teams on legal requirements and best practices related to M&A activities.
  11. Support the development and implementation of company policies and procedures related to M&A.
  12. Represent the company in negotiations and meetings with external parties, including potential acquisition targets, investors, and regulatory bodies.
  13. Maintain accurate and organized legal records and documentation related to M&A activities.
  14. Contribute to the overall legal strategy of the company and provide input on potential M&A opportunities.
  15. Uphold Salesforce's core values and promote a positive and inclusive work environment.

Job Qualifications
  • Strong Understanding Of Corporate Governance, Securities Laws, And Regulatory Compliance

  • Juris Doctor (J.d.) Degree From An Accredited Law School

  • Minimum Of 5 Years Experience In Corporate Law, With A Focus On Mergers And Acquisitions

  • Experience Drafting And Negotiating Complex Transactional Documents, Such As Purchase Agreements And Disclosure Schedules

  • Excellent Communication And Interpersonal Skills, With The Ability To Effectively Advise And Collaborate With Internal Teams And External Stakeholders.
