As the Deputy Corporate Secretary, you will play a crucial role in supporting the Authority's legal and governance functions.   1. Provide support to the Corporate Secretary in managing all legal and governance activities for the New York Power Authority.
  2. Assist in the preparation and maintenance of legal documents, contracts, and corporate filings.
  3. Collaborate with various departments within the Authority to ensure compliance with legal and governance requirements.
  4. Conduct legal research and provide recommendations on legal and governance issues.
  5. Prepare meeting agendas and materials for board meetings, ensuring accuracy and timeliness.
  6. Attend board meetings and record minutes, ensuring all discussions and decisions are accurately captured.
  7. Maintain and update corporate records and databases.
  8. Proactively identify potential legal and governance risks and provide recommendations for mitigation.
  9. Assist in the review and negotiation of contracts and agreements.
  10. Communicate and liaise with external legal counsel and regulatory agencies as needed.
  11. Stay up-to-date on industry regulations and changes in corporate governance practices.
  12. Participate in the development and implementation of corporate governance policies and procedures.
  13. Collaborate with the Corporate Secretary to ensure timely and accurate reporting to regulatory agencies.
  14. Provide training and guidance to employees on legal and governance matters.
  15. Foster a positive and collaborative work environment within the legal and governance team.

Job Qualifications
  • Bachelor's Degree In Business Administration, Legal Studies, Or A Related Field.

  • Minimum Of 3-5 Years Of Experience In Corporate Governance, Legal Compliance, Or Similar Roles.

  • Strong Knowledge Of Federal And State Laws And Regulations Governing Corporations, As Well As Corporate Governance Best Practices.

  • Excellent Communication And Interpersonal Skills, With The Ability To Interact With Senior Management, Board Members, And External Stakeholders.

  • Detail-Oriented And Highly Organized, With The Ability To Manage Multiple Projects And Deadlines Simultaneously.
