- Conduct thorough research and stay up-to-date on all corporate governance laws and regulations to ensure NCR's compliance.
- Collaborate with the legal team and senior management to develop and implement corporate governance policies and procedures.
- Prepare and maintain corporate records, including board minutes, resolutions, and other legal documents.
- Assist in the preparation and filing of corporate regulatory documents, such as annual reports and disclosures.
- Support the legal team in drafting and reviewing contracts, agreements, and other legal documents.
- Coordinate and facilitate meetings of the board of directors and committees, including scheduling, preparing agendas, and taking minutes.
- Manage the company's corporate governance database and ensure accurate and timely record-keeping.
- Provide timely and accurate advice to the company on corporate governance matters.
- Communicate effectively with internal and external stakeholders regarding corporate governance policies and procedures.
- Assist in the preparation and submission of reports to regulatory agencies and authorities.
- Advise and assist the company in responding to shareholder inquiries and requests related to corporate governance.
- Mentor and train junior paralegals on corporate governance practices and procedures.
- Handle any other tasks or projects related to corporate governance as assigned by the legal team or senior management.
- Maintain confidentiality and handle sensitive information with discretion.
