SEC & Corporate Governance Attorney

At NCR, we are looking for a SEC & Corporate Governance Attorney to join our dynamic legal team. The successful candidate will be an experienced and self-motivated attorney with a passion for corporate law and a commitment to excellence. This position requires a broad range of experience, including corporate governance, securities law, and mergers and acquisitions.To thrive in this role, you should have a Juris Doctor degree and be admitted to practice in at least one US jurisdiction. You should also have 5+ years of relevant legal experience, including experience in the areas of corporate governance, securities law, and mergers and acquisitions. Additionally, you should have an understanding of the Sarbanes-Oxley Act and related SEC regulations, as well as a demonstrated ability to provide strategic legal advice on matters related to corporate governance.We are seeking an attorney who values collaboration and can work in a fast-paced environment. You should bring excellent communication skills and the ability to effectively manage relationships both internally and externally. Above all, you should demonstrate a commitment to excellence and a commitment to upholding the highest standards of ethics and integrity.

Responsibilites:

1. Ensure compliance with Sarbanes-Oxley Act and other applicable SEC regulations.
2. Provide legal advice on corporate governance matters.
3. Research and analyze legal documents, including corporate documents, contracts, and other documents related to mergers and acquisitions.
4. Draft and review corporate governance documents, such as charters and bylaws.
5. Advise on legal matters related to mergers and acquisitions.
6. Develop and maintain relationships with internal and external stakeholders.
7. Provide strategic legal advice on a range of corporate governance matters.
8. Participate in meetings with stakeholders, such as boards of directors.
9. Monitor changes in relevant legislation and regulations and ensure compliance.
10. Uphold highest standards of ethics and integrity.
