
Investment Counsel
Primary accountability for legal representation of the investment and MRI teams, including assigning matters to outside counsel and other lawyers on the team and reviewing their work. Assists with governance matters and preparing board and committee materials and minutes, particularly for the foundation’s Investment and MRI Committees. Advises on structuring questions relating to equity and debt PRIs and negotiates PRI agreements and side letters. Reviews and negotiates contracts with operational and programmatic consultants and vendors. Advises and assists on other matters as needed, such as intellectual property, employment law and benefits, real estate, finance, litigation, and special projects throughout the foundation.
7 years of related experience as a corporate lawyer at a law firm or in-house with expertise in private equity and other alternative investments.
