- Oversee and manage all aspects of the company's securities law compliance and transactions.
- Provide expert legal advice and guidance to the executive team on securities law matters.
- Develop and maintain a deep understanding of all relevant securities laws and regulations.
- Review and negotiate contracts and agreements related to securities transactions.
- Conduct due diligence for potential investments and acquisitions.
- Advise on the company's disclosure obligations, including SEC filings and public statements.
- Monitor changes in securities laws and regulations and advise on potential impact to the company.
- Collaborate with other departments, such as finance and investor relations, to ensure compliance and consistency.
- Develop and implement policies and procedures to ensure compliance with securities laws.
- Represent the company in securities-related legal proceedings and government inquiries.
- Stay up-to-date on industry developments and best practices in securities law.
- Train and educate internal stakeholders on securities law compliance and best practices.
- Act as a key liaison between the company and external legal counsel for securities matters.
- Provide support and guidance to junior legal team members as needed.

Extensive Knowledge Of Securities Laws: A Senior Corporate Counsel - Securities At Dick’s Sporting Goods Should Possess A Thorough Understanding Of Federal And State Securities Laws, Regulations And Compliance Requirements. This Includes But Is Not Limited To The Securities Act Of 1933, Securities Exchange Act Of 1934, And Securities Act Of 1940.
Experience In Public Company Reporting And Disclosure: The Ideal Candidate Should Have Experience In Preparing And Filing Annual And Quarterly Reports, Proxy Statements, And Other Securities Filings With The Securities And Exchange Commission (Sec). They Should Also Have A Strong Understanding Of Disclosure Requirements And Best Practices For Public Companies.
Mergers And Acquisitions Experience: Dick’s Sporting Goods Is A Publicly Traded Company That Has Made Several Acquisitions In Recent Years. Therefore, A Senior Corporate Counsel - Securities Should Have Experience In Handling M&A Transactions, Including Due Diligence, Drafting And Negotiating Transaction Documents, And Ensuring Compliance With Securities Laws And Regulations.
Corporate Governance Expertise: With A Strong Understanding Of Corporate Governance Principles And Practices, The Senior Corporate Counsel - Securities Will Be Responsible For Advising The Company's Board Of Directors And Senior Management On Matters Related To Corporate Governance, Including Board Composition, Committee Structure, And Best Practices.
Strong Communication And Interpersonal Skills: As A Senior Member Of The Legal Team, The Senior Corporate Counsel - Securities Will Be Required To Effectively Communicate Complex Legal Concepts To Non-Legal Stakeholders, Including Senior Management And The Board Of Directors.
