  1. Provide legal advice and guidance to the company on matters related to corporate governance and securities.
  2. Work closely with the executive leadership team to shape the company's legal strategy.
  3. Stay updated on the latest developments in corporate governance and securities laws.
  4. Conduct legal research and analysis to identify potential risks and make recommendations to mitigate them.
  5. Draft and review contracts, policies, and other legal documents related to corporate governance and securities.
  6. Advise on compliance with laws and regulations related to corporate governance and securities.
  7. Collaborate with other departments, such as finance and human resources, to ensure legal compliance and best practices are followed.
  8. Participate in meetings and discussions with external stakeholders, such as regulators and investors, to represent the company's legal interests.
  9. Train and educate employees on corporate governance and securities laws and regulations.
  10. Develop and maintain strong working relationships with internal and external legal counsel.
  11. Monitor and assess potential legal risks and provide proactive solutions to address them.
  12. Stay current on industry trends and developments in corporate governance and securities to help inform the company's legal strategy.
  13. Communicate complex legal concepts in a clear and concise manner to non-legal stakeholders.
  14. Ensure all legal processes and procedures are followed in accordance with company standards and applicable laws.
  15. Act as a mentor and resource for junior legal team members.

Job Qualifications
  • Extensive Experience In Corporate Governance And Securities Laws: A Senior Counsel At Capital One Should Have A Deep Understanding Of Corporate Governance Principles And Regulations, As Well As A Thorough Knowledge Of Securities Laws And Regulations.

  • Strong Legal Background And Expertise: The Ideal Candidate Should Possess A Juris Doctor (Jd) Degree From An Accredited Law School And Have A Minimum Of 8-10 Years Of Experience Practicing Law, Preferably In A Corporate Or Securities Law Firm Or In-House Legal Department.

  • Excellent Communication And Interpersonal Skills: A Senior Counsel At Capital One Should Have Excellent Communication And Interpersonal Skills To Effectively Collaborate With Internal And External Stakeholders, Including Senior Executives, Regulators, And Outside Counsel.

  • Ability To Manage Complex Legal Matters: The Candidate Should Have A Proven Track Record Of Successfully Managing Complex Legal Matters, Including M&A Transactions, Capital Markets Activities, And Corporate Governance Issues.

  • Strategic Thinking And Business Acumen: The Senior Counsel Should Possess Strong Strategic Thinking Abilities And Have A Solid Understanding Of The Business Environment In Which Capital One Operates. This Includes The Ability To Identify And Manage Legal Risks While Supporting The Company's Strategic Objectives.
