  1. Conduct in-depth analysis and review of complex securitization transactions to ensure compliance with legal and regulatory requirements.
  2. Advise and provide legal support to various business units on securitization matters, including structuring, documentation, and due diligence.
  3. Stay up-to-date on industry trends and best practices in securitization to provide innovative solutions and strategies for clients.
  4. Collaborate with internal and external stakeholders, including clients, counterparties, and regulators, to negotiate and execute transactions.
  5. Conduct legal research and draft legal opinions, memos, and other documents related to securitization.
  6. Supervise and mentor junior attorneys and legal staff, providing guidance and support on securitization matters.
  7. Manage relationships with outside counsel and oversee their work on securitization transactions.
  8. Monitor legal and regulatory developments related to securitization and advise the business on any potential impacts.
  9. Participate in the development and implementation of company policies and procedures related to securitization.
  10. Analyze and assess legal risks associated with securitization transactions and provide strategic recommendations to mitigate those risks.
  11. Communicate complex legal concepts and advice to non-legal stakeholders and senior management.
  12. Collaborate with other members of the legal team to ensure consistency and alignment with company goals and objectives.
  13. Represent the company in meetings and negotiations with clients, regulators, and other external parties.
  14. Maintain a high level of professionalism and ethical standards in all interactions and transactions.
  15. Continuously seek opportunities for professional development and growth in the field of securitization.

Job Qualifications
  • Minimum Of 8-10 Years Of Experience In Securitization And Structured Finance, Preferably With A Focus On Counsel Roles At A Top-Tier Financial Institution Or Law Firm.

  • Juris Doctor (Jd) Degree From An Accredited Law School And Admission To The Bar In At Least One State.

  • Strong Understanding Of Relevant Laws And Regulations Related To Securitization, Including Dodd-Frank, Securities Act, Exchange Act, And Other Relevant Regulations.

  • Proven Track Record Of Managing Complex Securitization Transactions, Including Drafting And Negotiating Legal Documents, Conducting Due Diligence, And Managing Internal And External Stakeholders.

  • Excellent Communication And Interpersonal Skills, With The Ability To Effectively Collaborate With Cross-Functional Teams And Senior Management.
